Business location. Kroot Co. is formed in Delaware and operates primarily from Los Angeles, California. The Wilmington, Delaware address identified above is Kroot’s registered-office/formation address and is not Kroot’s principal operating location.

Please read these Terms before creating an account or purchasing a service. By affirmatively accepting them when asked, you agree to them. Our Privacy Policy explains how we handle personal information. It is not a substitute for a separate choice or consent where one is required.

“User” means any person who accesses or uses the Platform.

“Connected Account” means a third-party account, including Gmail or an enabled calendar account, that a user separately authorizes Kroot to access.

“User Content” means information, files, links, notes, application records, resumes and other material a user provides directly to Kroot.

“Recruiting Intelligence” means aggregated, statistical, trend, benchmark or similar information generated from information Kroot is permitted to use.

“Plus” means Kroot’s paid subscription plan. “Subscription” means a paid recurring plan that renews automatically until canceled in accordance with these Terms.

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter this agreement. If acting for an organization, you must have authority to bind it. Do not create an account for another person without permission.

Sign in using Google Sign-In, which is currently the only supported sign-in method, and provide accurate account information. Protect the Google account used to access Kroot. Tell us promptly if you suspect unauthorized access. You are responsible for your own use and for access you knowingly authorize; this does not waive protections you have under applicable law.

Do not misrepresent your identity, qualifications, school, employment, coaching experience or authority to connect an account.

2. What Kroot provides

Kroot provides tools to organize applications and saved jobs, track progress, review interview information and next actions, browse available job listings, and view Recruiting Intelligence.

Some functions are manual; optional integrations can automate parts of the process. Features labeled planned, preview or demonstration may not be available. Sample applications and outcomes illustrate functionality and are not promises of employment results.

Kroot is not an employer making hiring decisions for listed organizations. A listing, company name or logo does not imply an endorsement or partnership. We do not guarantee that a listing remains open, that an employer will respond, or that a user will obtain an interview or offer.

Availability of coaching features. Coaching, mentor discovery, booking and related marketplace functionality are not yet available. Sections of these Terms addressing coaches, coaching sessions, bookings, coaching payments, cancellations or coaching refunds apply only if and when Kroot makes the relevant feature available. The inclusion of those terms does not represent that a particular coaching feature is currently available.

Preview, beta and experimental features. Kroot may identify some features as preview, beta, experimental or early access. Those features may be incomplete, may contain errors, may change materially and may be suspended or discontinued. Do not rely on a preview or experimental feature as the sole source for an application deadline, interview time, offer condition or other time-sensitive employment information.

3. Connected accounts

Connect only accounts you own or are authorized to use. Employer-controlled or shared accounts may require additional authorization. Do not give us someone else's sign-in credentials.

Gmail access supports automatic application tracking and is read-only. It does not authorize Kroot to send, change or delete Gmail messages. Candidate-message filtering can include messages that are later determined to be unrelated to recruitment. You can use manual tracking without authorizing Gmail.

Google authentication and Gmail authorization are separate. Kroot requires Google Sign-In to authenticate your Kroot account. Signing in with Google does not by itself authorize Kroot to read your Gmail messages. Gmail access is requested separately through Google’s authorization process and is optional.

If you decline or later revoke Gmail access, you may continue using Kroot’s available manual job-search and application-tracking functionality, although features that specifically depend on Gmail access may be unavailable or stop updating.

Calendar and meeting features. When coaching or mentor session booking is available, Kroot will ask separately, through Google's authorization process, for permission to access your Google Calendar. Kroot uses that permission only to create and update session events and generate Google Meet links for sessions you book. Calendar access is optional, is separate from Gmail authorization and is needed only for booking features.

You can disconnect through the controls provided or revoke access through the provider. Disconnecting does not automatically delete existing application records or cancel coaching bookings. The Privacy Policy explains retention, deletion and what happens when you revoke connected-account access. Providers may change or interrupt their services, which can affect connected features.

4. Automated information and AI

Automated extraction and AI-assisted features can miss messages, confuse roles, assign an incorrect stage or date, or produce an inaccurate summary. Review important information against the employer's original communication. Confirm deadlines, interview times, locations, meeting links and offer conditions directly.

You can use available controls to correct your records or contact support. We do not guarantee uninterrupted sync or that every message will be recognized. These limitations do not excuse our own obligations under applicable law or override an express commitment we make.

Our handling of connected-account data is limited by the Privacy Policy and applicable provider requirements, including Google's restrictions. These Terms do not authorize unrestricted human access to your mail or generalized-model training on Google Workspace API data.

Recruiting Intelligence and Aggregated Information

Kroot may use information users provide directly to the Platform, including manually entered application information, together with public information and other information Kroot is permitted to use, to create Recruiting Intelligence such as aggregated hiring trends, application benchmarks, recruiting activity, cohort statistics, hiring velocity and historical recruiting patterns.

Recruiting Intelligence made available to other users is intended to present information in aggregated, statistical or otherwise de-identified form and is not intended to reveal another identifiable user’s private application activity, communications, resume or account information.

Kroot may establish minimum aggregation thresholds, suppress small data sets, delay publication, group information into broader categories or use other safeguards where reasonably appropriate to reduce the risk that Recruiting Intelligence could be linked to a particular user.

Kroot does not use information obtained through Google Workspace APIs, or information derived from that data, to create Recruiting Intelligence made available to other users. That information is used only to provide the user-facing features for which you authorized it. Kroot will not change this unless the use is permitted by applicable Google policies, the Privacy Policy has first been updated to disclose it, and any permission required by those policies or applicable law has been obtained.

Recruiting Intelligence is informational and may be incomplete, delayed or affected by changes in underlying data. It is not a representation by an employer, a prediction that a particular employer will take any action, or a guarantee of an interview, offer or other hiring outcome.

If you delete your account, information that continues to identify or reasonably relate to you will be handled as described in the Privacy Policy. Kroot may retain statistics or aggregated information that has been processed so that it no longer reasonably identifies or relates to you.

5. Coaching and coach responsibilities

This Section applies only if and when Kroot makes coaching features available.

Coaches provide career guidance based on their experience. Coaching does not guarantee interviews, referrals, offers, compensation or career outcomes. Consider advice in light of your circumstances. Kroot's description of a coach does not imply an employer endorses that coach's services.

Coaches must provide truthful qualifications, services, rates and availability; protect participant information; respect professional boundaries; and provide the service they agreed to deliver. Do not imply an affiliation, referral power or outcome guarantee you do not have. Users must treat one another respectfully and use contact details only for the agreed service unless separately authorized.

Coach profile information and verification. Unless Kroot expressly labels a particular credential, identity attribute, employment history or other profile field as verified, users should treat coach profile information as information supplied by the coach. Kroot may introduce verification procedures in the future, but the presence of a coach on the Platform does not by itself mean that Kroot has independently verified every statement in that coach’s profile.

Coaching recordings. Kroot does not record or transcribe coaching calls as part of the currently planned coaching service. If Kroot later introduces recording or transcription, Kroot will provide advance notice and obtain any consent required by applicable law before recording or transcribing a session.

Coaching Services, Payments, and Kroot’s Role

Relationship between Learners and Coaches. When a learner books a coaching session through Kroot, the agreement for the coaching services is directly between the learner and the coach. The coach—not Kroot—is responsible for providing the session and for the quality, accuracy, legality, and professional appropriateness of the coaching services.

Kroot operates the marketplace that enables learners to discover coaches, schedule sessions, communicate through the Platform, submit payments, and request assistance with bookings. Although Kroot does not provide the underlying coaching services, Kroot is involved in facilitating and administering the related payment transaction as described below.

Payments and Kroot Commission. Learners pay the session price to Kroot or Kroot’s designated third-party payment processor at the time of booking. Kroot collects and processes that payment in connection with the coaching transaction.

Kroot deducts its applicable commission, platform fee, payment-processing charges, and any other amounts authorized under the Coach Agreement before paying the remaining net proceeds to the coach. The applicable commission or fee will be disclosed to the coach through the Coach Agreement, coach dashboard, or other written notice before it is charged.

Subject to any applicable refund, dispute, chargeback, fraud review, reserve, tax withholding, or payment-processing delay, Kroot generally pays coaches their available net earnings every two weeks. Payment schedules are estimates and may be affected by weekends, bank processing times, payment-provider requirements, or compliance reviews.

Complaints, Cancellations, and Refunds. Learners should direct complaints, cancellation requests, and refund requests relating to a coaching session to Kroot at trykroot@gmail.com. Kroot will administer the request under the Cancellation, Attendance, Technical Issues, and Refund Policy in Section 6 and may consult the coach when reviewing what occurred.

Kroot may issue a full or partial refund when required by the applicable policy, these Terms, or applicable law. If Kroot issues a refund, chargeback, payment reversal, or other adjustment relating to a coach’s session, Kroot may withhold or deduct the corresponding amount from the coach’s pending or future payouts as permitted by the Coach Agreement. Nothing in these Terms limits any non-waivable consumer rights provided by applicable law.

Coach Agreement. Every coach must accept a separate Coach Agreement before offering or providing coaching services through Kroot. The Coach Agreement governs coach-specific matters, including:

  • Kroot’s commission and payment-processing fees;
  • settlement and payout timing;
  • refunds, disputes, chargebacks, deductions, and reserves;
  • coach conduct and service standards;
  • tax reporting and payment responsibilities;
  • confidentiality and the handling of learner information; and
  • suspension, termination, and removal from the Platform.

These Terms continue to apply to a coach’s general access to and use of Kroot. If the Coach Agreement conflicts with these Terms regarding a coach’s provision of services, commissions, payouts, taxes, conduct, or confidentiality obligations, the Coach Agreement will control for that issue.

Coaches are responsible for determining and satisfying their own tax obligations arising from amounts earned through Kroot. Kroot may collect tax information, make legally required withholdings, and provide or file tax documents when required by applicable law.

6. Bookings, cancellation and refunds

This Section applies only if and when Kroot makes coaching and booking features available.

Before confirming a booking, review the coach, service, duration, date, time zone, total charge and applicable cancellation rules. Keep your contact details current. A request is not confirmed until the applicable confirmation process has completed. A paid booking is confirmed when checkout completes, subject to the coach-cancellation rules below.

Use the booking controls or contact support to request a cancellation or correction. Cancelling a calendar event alone may not cancel the Kroot booking. A booking cancellation and a payment refund are separate actions; we will communicate the relevant outcome.

The following policy will also be displayed before you complete a coaching payment.

Cancellation, Attendance, Technical Issues, and Refund Policy

Learner cancellations with at least 12 hours’ notice. A learner may cancel or reschedule a session without penalty by submitting the request through the Kroot Platform at least twelve (12) hours before the session’s scheduled start time. The deadline is calculated using the start time displayed in the learner’s booking confirmation. If the Platform’s cancellation function is unavailable, the learner may email trykroot@gmail.com before the deadline.

Late cancellations. If a learner cancels less than twelve (12) hours before the scheduled start time, Kroot may charge a cancellation fee of 50% of the original fee. Any remaining refundable balance, if applicable, will be returned to the learner’s original payment method. The applicable cancellation fee will be disclosed before the learner completes the booking.

Late arrivals and learner no-shows. The coach must join the scheduled meeting and remain available for at least fifteen (15) minutes after the scheduled start time. If the learner joins during that period, the session may continue for the remaining scheduled time and will not ordinarily be extended.

If the learner has not joined after fifteen (15) minutes, the booking will be considered a learner no-show. A learner who misses a session without timely cancellation will not be entitled to a refund or complimentary rescheduling, except where required by law or where Kroot determines that an emergency, verified technical problem, or other exceptional circumstance warrants a different resolution.

Coach cancellations and no-shows. If a coach cancels a session or does not attend the scheduled meeting, the learner will receive a full refund. Kroot may offer the learner the option to reschedule with the same or a different coach, but the learner is not required to accept rescheduling instead of a refund.

Payment received without a confirmed session. If a learner’s payment succeeds but no valid session is confirmed, the learner should contact trykroot@gmail.com and provide the email address used for the booking and any available payment or booking information. Kroot will review the transaction and either confirm or rebook the session or issue a full refund.

Technical failures or services not provided as described. A learner who experiences a material technical failure or believes that a session was not provided as described should contact trykroot@gmail.com as soon as reasonably possible. The learner should include the booking information, an explanation of what occurred, and any relevant supporting materials.

Kroot may review Platform records, payment records, communications, and information supplied by the learner and coach. Depending on the circumstances, Kroot may provide an appropriate remedy, which may include rescheduling, a Platform credit, or a full or partial refund. Any remedy will be subject to this policy, the circumstances of the session, and applicable law.

Approved refunds. Kroot will initiate an approved refund within five (5) business days after approval. Unless otherwise required, the refund will be returned to the original payment method used to purchase the session. The learner’s bank, card issuer, or payment provider may require additional processing time before the funds appear in the learner’s account. Kroot does not control those external processing times.

Kroot may request additional information reasonably necessary to review a cancellation, attendance issue, technical problem, or refund request. Nothing in this policy limits any non-waivable consumer rights available under applicable law.

7. Prices and payments

Core features may be available without charge; paid services and their prices are identified before purchase. The amount shown at checkout will state the currency and any applicable taxes or fees.

Stripe processes card payments. You authorize the displayed charge when completing checkout. Kroot uses payment and transaction information to administer purchases and respond to payment issues. Stripe's involvement does not replace Kroot's obligations as seller or your rights under applicable law.

Contact support if a payment or booking appears incorrect. We may investigate payment misuse and respond to disputes, but this does not prevent you from exercising rights through your payment provider. A chargeback does not authorize harassment or misuse of a participant's information.

Kroot Free and Plus Plans

Kroot offers a Free plan and a paid Plus subscription. The features, limitations, and pricing displayed during enrollment form part of these Terms.

Free Plan

The Free plan costs $0 and does not require a credit card. It does not automatically convert into a paid subscription.

The Free plan currently includes:

  • Application CRM functionality, including stages, deadlines, notes, and next steps;
  • Gmail and CRM automation;
  • Importing or synchronizing up to the most recent 30 days of CRM history;
  • Job discovery tools, including searching, filtering, and saving jobs;
  • AI-generated recruiting summaries;
  • Preview access to live recruiting activity and pipeline intelligence;
  • Limited access to historical company recruiting patterns;
  • Wishlist tracking for up to twenty (20) companies;
  • Job-opening alerts delivered by email, generally subject to an approximately three-hour delay; and
  • A personalized job roundup delivered by email each Friday.

No recurring charge applies to the Free plan. Coaching sessions and other one-time purchases are separate and are charged only when the user affirmatively completes the applicable purchase.

Plus Plan

The Plus plan includes everything available through the Free plan, together with:

  • Full access to live recruiting activity and pipeline intelligence;
  • Applicant and cohort benchmarks;
  • Recruiting-wave and hiring-velocity insights;
  • Full access to historical company recruiting patterns;
  • Extended CRM history beyond 30 days;
  • Unlimited company-wishlist tracking;
  • Near-real-time job-opening alerts by email; and
  • A daily personalized job roundup delivered by email.

Alert timing, job availability, and matching results may depend on third-party information and technical processing. Kroot does not guarantee that every alert will be delivered immediately or before a position changes or closes.

Plus Subscription Pricing and Renewal

The monthly Plus subscription costs $12.99 per month, plus any applicable taxes.

Kroot also offers an annual Plus subscription at the annual price displayed during checkout. The annual option provides approximately 17% savings compared with twelve monthly payments. The complete annual price—not only the discount—will be displayed before the user authorizes the purchase.

Current annual price. The annual Plus subscription is $129.90 per year, plus applicable taxes, charged in one upfront annual payment. This is equivalent to approximately $10.83 per month for comparison purposes; it is not a monthly installment plan.

Plus subscriptions automatically renew at the end of the selected monthly or annual billing period unless canceled before the next renewal date. The payment method provided during enrollment will be charged the then-current subscription price and any applicable taxes at each renewal.

Before purchasing Plus, the user will be shown:

  • The complete subscription price;
  • Whether billing is monthly or annual;
  • That the subscription renews automatically;
  • The date or frequency of renewal;
  • The features included with Plus;
  • Instructions for canceling; and
  • Any material refund or promotional conditions.

Kroot will obtain the user’s affirmative authorization before beginning recurring charges. Remaining on the Free plan does not constitute authorization to purchase Plus, and a Free account will not automatically convert into a Plus subscription.

After enrollment, Kroot will provide a subscription acknowledgment in a form the user can retain. The acknowledgment will identify the applicable subscription terms, renewal terms, cancellation policy and a method for canceling the Subscription.

Kroot will maintain verification of a user’s affirmative consent to recurring charges for at least three (3) years, or one (1) year after the Subscription is terminated, whichever period is longer, or for any longer period required by applicable law.

For an annual Subscription, Kroot will send a renewal reminder at least fifteen (15) days and not more than forty-five (45) days before each annual renewal. For a monthly Subscription, Kroot will send a reminder at least once every twelve (12) months. Each reminder will identify the applicable service, the frequency and amount of the recurring charge, and how to cancel, and will be sent by email or another medium the user regularly uses to interact with Kroot. Kroot will also send any other renewal notice required by applicable law.

If Kroot changes the recurring fee for an existing Subscription, Kroot will provide a clear notice of the fee change and cancellation instructions no less than seven (7) days and no more than thirty (30) days before the fee change takes effect, or within any longer notice period required by applicable law. A price change will not be used to impose a retroactive charge for a completed billing period.

Trials and Promotions

Kroot does not represent the Free plan as a temporary Plus trial. If Kroot offers a Plus trial or promotional period, the specific duration, eligibility requirements, post-promotion price, conversion date, and cancellation deadline will be disclosed before enrollment. Kroot will not charge a user following a trial unless the user has affirmatively authorized the recurring subscription.

Canceling Plus

A user may cancel Plus at any time through the subscription or billing settings available in the user’s Kroot account. If online cancellation is temporarily unavailable, the user may request cancellation by emailing trykroot@gmail.com from the email address associated with the account.

Cancellation prevents future renewals. Unless otherwise disclosed or required by applicable law, the user will retain access to Plus through the end of the already-paid billing period, after which the account will return to the Free plan.

For a Subscription purchased online, Kroot provides an online method to terminate automatic renewal without unnecessary steps that obstruct or delay cancellation. If Kroot presents a discount or other retention offer when a user starts to cancel, Kroot will display a prominent option to proceed with cancellation at the same time, and declining the offer will not require any additional step. Kroot may require reasonable account authentication. If a user cannot or will not authenticate online, Kroot will make another cancellation method available as required by applicable law.

Once cancellation is completed, Kroot will not charge a new renewal after the effective cancellation date. Cancellation ordinarily ends future automatic renewal rather than immediately terminating access to an already-paid billing period. At the end of that paid period, the account will automatically revert to the Free plan unless the user purchases Plus again.

Deleting the Kroot application, disconnecting Gmail, unsubscribing from alert emails, or ceasing to use the Platform does not by itself cancel a Plus subscription.

Failed or Declined Subscription Payments

If a recurring payment is declined, expires or otherwise fails, Kroot or Stripe may retry the authorized charge in accordance with the payment settings applicable to the Subscription. Kroot may notify you and request that you update your payment method. If payment remains unsuccessful, Kroot may suspend Plus access or return the account to the Free plan. Kroot will not treat a failed payment as authorization for a different Subscription price or an unrelated charge.

A failed payment does not prevent you from canceling future renewal. If a payment is later successfully collected for an authorized billing period, access for that billing period will be handled according to the applicable plan and these Terms.

Subscription Refunds

Except where required by applicable law or expressly stated in a promotion, subscription payments are nonrefundable and Kroot does not provide prorated refunds or credits for partially used billing periods.

If a user believes a subscription charge was made in error, the user should contact trykroot@gmail.com. Kroot will review the request and may issue a full or partial refund when appropriate. Approved refunds will be returned to the original payment method, and the user’s financial institution may require additional processing time.

The subscription refund terms apply only to Free and Plus access. Refunds for coaching sessions, if and when coaching is available, are governed separately by the Cancellation, Attendance, Technical Issues, and Refund Policy in Section 6.

Changes to Plans or Pricing

Kroot may change plan features, limitations, or subscription prices from time to time. Any change will apply subject to applicable law and the disclosures presented to the user. If Kroot changes the price of an existing recurring subscription, Kroot will provide any required advance notice before charging the updated price.

The current features and price presented during checkout will control if they differ from an older description elsewhere on the Platform.

The preceding sentence applies to then-current plan features, limits and transaction-specific pricing shown for the purchase; it does not permit a checkout disclosure to waive mandatory consumer rights or contradict unrelated provisions of these Terms. Feature descriptions reflect the current product design and may evolve prospectively. If a material change affects an already-paid commitment, Section 11 and applicable law will govern.

8. Your content and public profile

You retain your rights in information and content you provide. You give Kroot a limited, non-exclusive permission to host, process, display and transmit that content only as needed to provide the features you use, protect the service and meet legal obligations, consistent with the Privacy Policy. This permission ends when the information is deleted, except for the limited retention or copies lawfully permitted as described there.

If and when coaching features are available, for a public coach profile you authorize display of the fields you approve for publication. Do not include another person's private contact details or confidential information without authority.

You must have the rights needed to provide uploaded images and other content. Do not submit unlawful, infringing or malicious material. Information from connected Google accounts remains subject to the more specific restrictions in the Privacy Policy and provider policies; this content permission does not expand them.

Kroot may permit users to upload resumes in supported formats, including PDF, and provide links to external portfolios or professional materials. Portfolio links direct to third-party services that Kroot does not control.

By providing User Content, you represent that you have the rights and permissions necessary to provide it to Kroot and permit Kroot to process it as described in these Terms and the Privacy Policy.

Do not upload or provide material that contains malware, unlawfully obtained information, trade secrets you are not authorized to disclose, confidential employer or interview materials you are prohibited from sharing, or another person’s personal information where you lack authority to provide it.

A resume or other private User Content is not made public merely because it is uploaded to Kroot. If Kroot later introduces a feature that publishes or shares such content with employers, coaches, recruiters or other users, the Platform will identify that functionality and provide the applicable controls or disclosures.

The limited permission granted in this Section includes processing User Content to provide features the user requests and, where these Terms and the Privacy Policy permit, transforming eligible directly provided information into Recruiting Intelligence that is made available only in aggregated, statistical or otherwise de-identified form. Kroot does not obtain ownership of the underlying User Content through that processing.

Feedback

If you voluntarily provide Kroot with product ideas, suggestions or feedback, you grant Kroot a perpetual, worldwide, royalty-free right to use, reproduce, modify and incorporate that feedback for any lawful purpose without compensation or obligation to you. This Feedback provision does not apply to private application records, resumes, connected-account information or other User Content merely because it may reveal a product need or preference.

9. Acceptable use

You must not:

  • Access or attempt to access another person's account, mailbox, applications or private booking information without authorization.
  • Bypass access controls, abuse scheduling or payment flows, interfere with the service, or upload malicious code.
  • Impersonate another person, falsify qualifications, operate scams, or send unsolicited marketing using information obtained through Kroot.
  • Harass, threaten or unlawfully discriminate against users or disclose their private information without authority.
  • Copy, republish or exploit third-party job descriptions or content in ways that violate applicable rights or terms.
  • Scrape, crawl, harvest, index or extract data from the Platform by automated means except through a Kroot-provided interface or with Kroot’s written permission.
  • Reverse engineer, decompile, disassemble, probe or attempt to discover source code, nonpublic APIs, models, security mechanisms or underlying technical components except to the limited extent that applicable law prohibits this restriction.
  • Circumvent rate limits, access controls, paywalls, feature limits or other technical restrictions, or use multiple accounts or automation to evade them.
  • Harvest recruiter, coach, employer or user contact information for unsolicited outreach, spam, resale, data brokerage or other unauthorized purposes.
  • Sell, sublicense, redistribute or commercially exploit Kroot-provided Recruiting Intelligence or other nonpublic Kroot data as a standalone dataset or service without written permission.
  • Use automated agents to create accounts, submit artificial activity, manipulate benchmarks or contaminate Recruiting Intelligence.
  • Use the Platform or its nonpublic data primarily to build, train or improve a competing database, recruiting-intelligence product or substantially similar service without Kroot’s written permission.

You may report suspected security issues through trykroot@gmail.com. Avoid accessing other people's data when reporting an issue.

10. Kroot and third-party materials

Kroot and its licensors retain their rights in the service, software, design and materials they own. Subject to these Terms, you may use the service for its intended functions. These Terms do not transfer ownership of Kroot's marks or third-party content to you.

Limited license. Subject to your compliance with these Terms, Kroot grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Platform for its intended personal or internal organizational purposes. No right is granted to reproduce, distribute, sell or commercially exploit Kroot software, design, nonpublic data or proprietary materials except as expressly permitted by Kroot.

External job applications, identity services, payment pages and other linked services may have their own terms and privacy practices. Review them before submitting information. Kroot remains responsible for its own activities and representations; it does not control an independent third party's service.

Kroot respects the intellectual-property rights of others. Kroot may remove or disable access to material that it reasonably believes infringes copyright or other intellectual-property rights and may terminate accounts of users who repeatedly infringe in appropriate circumstances.

A rights owner or authorized agent who believes material available through Kroot infringes their rights should send a written notice to trykroot@gmail.com that includes: (1) a physical or electronic signature of the authorized person; (2) identification of the copyrighted work or other right claimed to have been infringed, or a representative list where appropriate; (3) identification and location of the allegedly infringing material; (4) contact information for the complaining party; (5) a statement of good-faith belief that the complained-of use is not authorized by the rights owner, its agent or the law; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and the complaining party is authorized to act for the rights owner.

If Kroot removes or disables user-provided material in response to a complaint, Kroot may notify the affected user. The affected user may respond with a written counter-statement explaining why the material should be restored, and Kroot may restore the material where it reasonably determines that restoration is appropriate and lawful.

11. Changes, suspension and termination

We may improve or change the service. If a material change affects a paid commitment, we will provide appropriate notice and honor the applicable contract and legal remedies.

We may restrict access where reasonably necessary to address a breach, fraud, a security risk or a legal requirement. Where appropriate and lawful, we will explain the restriction and give you a way to ask for review. Urgent protection may require action before notice.

You may stop using Kroot and request account deletion. Consider pending bookings and request a copy of records you need before deletion. Deleting an account does not by itself establish that an external payment or booking was refunded. We will handle remaining obligations under the applicable booking rules and law.

Effect of Suspension, Termination, and Account Deletion

Suspension, termination or account deletion may end access to some or all Platform features. If Kroot permanently terminates a Plus account, future automatic renewals will be canceled. Unless required by law or otherwise stated in these Terms, termination for a material breach does not create a right to a refund for a billing period already provided.

Account deletion does not erase obligations or records that Kroot must retain for payment, fraud prevention, security, tax, accounting, dispute-resolution or other legal purposes, and it does not require deletion of information that has been processed into aggregated information that no longer reasonably identifies or relates to the user. Personal information retained after deletion remains subject to the Privacy Policy.

Provisions that by their nature should continue after termination—including provisions concerning ownership, licenses already exercised for lawfully retained or aggregated information, payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, dispute provisions and general contractual terms—survive termination to the extent permitted by law.

12. Service limitations and liability

We aim to provide useful and reliable tools, but do not promise error-free automated results, uninterrupted access, availability of a third-party listing or any employment outcome. Coaching is advice, not a guarantee.

To the extent permitted by applicable law, the service is provided as available without additional implied warranties. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including applicable consumer rights and remedies.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” KROOT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. KROOT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF HARMFUL COMPONENTS, OR THAT JOB LISTINGS, ALERTS, RECRUITING INTELLIGENCE, AUTOMATED EXTRACTIONS, AI-ASSISTED OUTPUTS OR THIRD-PARTY INFORMATION WILL BE COMPLETE, CURRENT OR ACCURATE.

Some jurisdictions do not allow particular warranty exclusions. In those jurisdictions, the exclusions above apply only to the extent permitted by law and do not reduce any non-waivable statutory warranty or consumer right.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KROOT AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KROOT’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM, SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID TO KROOT FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT THAT FIRST GAVE RISE TO LIABILITY.

These limitations do not apply to liability that cannot lawfully be limited or excluded, and they do not limit remedies for Kroot’s fraud, willful misconduct or other conduct for which applicable law prohibits limitation. Mandatory consumer remedies remain available where applicable.

Indemnification

To the extent permitted by applicable law, you will indemnify and hold harmless Kroot and its directors, officers, employees, contractors and agents from third-party claims, damages, liabilities and reasonable costs arising from: (a) User Content you provide in violation of another person’s rights; (b) your unauthorized connection or use of another person’s account or information; (c) your unlawful or intentionally abusive use of the Platform; or (d) your material violation of these Terms. This obligation does not require you to indemnify Kroot for Kroot’s own fraud, willful misconduct or other liability that applicable law does not permit Kroot to shift to you.

Kroot will provide reasonable notice of a covered third-party claim where practicable and will not require a consumer to surrender a non-waivable legal right as a condition of handling the claim.

13. Resolving concerns and applicable law

Please contact trykroot@gmail.com with a description of your concern so we can try to resolve it. This is not a condition that prevents you from exercising a non-waivable legal right.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Except for disputes eligible for small-claims court, any legal proceeding arising from these Terms must be brought in the state or federal courts located in Los Angeles County, California. Nothing in this section limits any mandatory consumer protection or jurisdictional rights available under applicable law.

International Use

Kroot is operated from the United States and is primarily designed for use in connection with the U.S. job market, although users in other countries may be able to access the Platform. Availability in a country does not mean that Kroot represents that every feature is lawful, appropriate or available in that jurisdiction. You are responsible for complying with laws that apply to your use of the Platform. Kroot may restrict or discontinue access in a country or region where reasonably necessary for legal, regulatory, security or operational reasons.

If you are a consumer whose country or region provides mandatory rights that cannot be waived by contract, these Terms do not deprive you of those rights, and the governing-law and venue provisions above apply only to the extent permitted by applicable law.

14. Updates to these Terms

We will identify updates by their effective date and provide appropriate advance notice of material changes through the service or another reasonable channel. Where a new acceptance is needed, we will request it. Changes do not retroactively remove rights concerning an existing dispute or completed purchase.

Contract acceptance and privacy choices are recorded separately. A change to these Terms does not by itself authorize a new use of connected-account data.

Versioned acceptance records. Kroot may record the version of these Terms presented to you, the date and time of acceptance, your account identifier and technical records reasonably necessary to demonstrate acceptance. Privacy permissions, analytics choices, Gmail and Calendar authorization and communication preferences are separate from acceptance of these Terms and will be recorded or managed through the applicable consent flow, account setting or request process described in the Privacy Policy.

15. General provisions

If a provision cannot be enforced, the remaining provisions continue to apply to the extent lawful. A delay in enforcing a provision does not waive it. These Terms and any clearly identified, applicable booking or coach agreement form the agreement for the relevant service. Mandatory law takes priority over conflicting wording.

Electronic Communications and Notices

Where permitted by law, Kroot may provide account, billing, renewal, contractual and legal notices electronically through the Platform or by email to the address associated with your account. You are responsible for keeping that address current. Electronic contractual notices are separate from consent to receive marketing communications. Where applicable law requires a separate form of consent, delivery method or paper notice, Kroot will follow that requirement.

Notices to Kroot concerning these Terms may be sent to trykroot@gmail.com or by mail to Kroot Co., 2810 N Church St STE 89710, Wilmington, DE 19802, US, unless these Terms specify another channel. This does not modify legal requirements governing formal service of process.

Assignment

You may not assign or transfer these Terms or your account without Kroot’s prior written consent, except where applicable law gives you a non-waivable right to do so. Kroot may assign these Terms in connection with a merger, reorganization, financing, sale of assets or transfer of the relevant business, subject to applicable law and the Privacy Policy.

Force Majeure

Kroot is not responsible for a delay or failure to perform caused by events beyond its reasonable control, including natural disasters, widespread internet or cloud-service failures, labor disruptions, governmental actions, war, terrorism, civil unrest, epidemics or failures of third-party infrastructure, except that this provision does not excuse obligations that applicable law makes non-waivable or amounts already due for completed transactions.

Relationship of the Parties

These Terms do not create a partnership, joint venture, franchise, fiduciary relationship or employment relationship between you and Kroot. Unless Kroot expressly authorizes otherwise in writing, a user, coach or other participant has no authority to bind Kroot or make commitments on Kroot’s behalf.

Export Controls and Sanctions

You may not use the Platform in violation of applicable U.S. export-control, sanctions or trade laws. Kroot may restrict access where reasonably necessary to comply with those laws.

No Third-Party Beneficiaries

Except where these Terms expressly state otherwise, these Terms do not create enforceable rights for a person or entity that is not a party to them.

Order of Precedence

If a transaction-specific checkout disclosure conflicts with these Terms about the price, billing interval or plan features for that specific purchase, the transaction-specific disclosure controls for that issue only. A Coach Agreement controls coach-specific commissions, payouts, taxes, conduct and confidentiality to the extent Section 5 states. The Privacy Policy governs Kroot’s handling of personal information. No transaction-specific document overrides a mandatory right that applicable law makes non-waivable.

Headings and Interpretation

Section headings are for convenience only and do not limit the meaning of these Terms. Words such as “including” mean “including without limitation” unless the context clearly requires otherwise. References to a law include applicable amendments and successor provisions.

Entire Agreement

Together with any transaction-specific terms expressly incorporated at checkout and any applicable Coach Agreement, these Terms form the agreement between you and Kroot concerning the relevant Services and supersede prior or contemporaneous statements about the same contractual subject matter. The Privacy Policy is incorporated only to the extent these Terms expressly refer to it for Kroot’s handling of personal information and does not convert a privacy choice that requires separate consent into acceptance merely because you accept these Terms.
